Terms of Service & End User License Agreement (EULA)

Last updated: 18 October 2026 · Applies to the ClinicFolio app and this website.

These Terms of Service ("Terms") govern your access to and use of the ClinicFolio mobile application and related services ("ClinicFolio" or the "Service"), provided by MIDAD for Information Technology & Digital Transformation Ltd. ("MIDAD", "we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. Eligibility and Professional Account Registration

ClinicFolio is designed exclusively for licensed medical practitioners and authorized healthcare professionals. By creating an account, you represent and warrant that you are at least 18 years of age and hold a valid, active license to practice medicine in your jurisdiction. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. An account belongs to one practitioner and may not be shared.

2. Medical Disclaimer and Clinical Responsibility

ClinicFolio is an administrative and clinical documentation assistance tool only. It does not offer medical advice, clinical diagnosis, or treatment recommendations, nor does it replace professional medical judgment.

3. End User License Agreement (EULA)

Subject to your compliance with these Terms, MIDAD grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use ClinicFolio for professional medical practice on mobile devices owned or controlled by you. You may not:

4. Plans and Access Codes

Access to ClinicFolio is measured in reports. Your plan, usage, and remaining balance are shown in the app under Access Status. Plans are activated with access codes issued by MIDAD or by organizations authorized by MIDAD. Access codes are issued to a single account, are not transferable, and may carry an expiry date. Reports already generated are not refundable.

5. Patient Data and Regulatory Compliance

As between MIDAD and you, you remain the Data Controller (or primary custodian) of patient records created within your practice. MIDAD acts as a Data Processor solely for providing, maintaining, and securing the Service. You are responsible for ensuring that your collection, entry, and management of patient health details comply with applicable regional health data protection and medical privacy regulations. How we handle data is described in our Privacy Policy.

6. Intellectual Property

All rights, title, and interest in and to ClinicFolio, including software code, visual design, domain names, logos, trademarks, and algorithms, remain the exclusive property of MIDAD Ltd.

7. Account Termination and Deletion

You may delete your account at any time directly within the app by opening Settings › Personal Information › Delete Account (at the bottom of the page), or by contacting support. Your account is locked as soon as you confirm. You may cancel the request within 14 days; after that, your account and records are permanently deleted within 30 days of the request, as described in our Privacy Policy. MIDAD reserves the right to suspend or terminate accounts that violate these Terms or engage in illegal or unauthorized activities.

8. Availability

The Service is provided "as is" and "as available". Maintenance, network failures, and third-party outages may interrupt it. Keep your own records as your practice requires.

9. Limitation of Liability

To the maximum extent permitted by applicable law, MIDAD and its affiliates, officers, and employees shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of patient records, data loss, or business interruption arising out of or related to your use of or inability to use the Service.

10. Changes to These Terms

We may update these Terms. We will change the date above and announce material changes in the app. Continuing to use ClinicFolio after that means you accept the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Republic of Iraq, and the courts of Baghdad have jurisdiction.
